VanLeeuwen. THAT the Council of the Township of Centre Wellington approve the reports from the Committee of the Whole meetings dated November 4 and 18, 2019 as circulated.

VanLeeuwen. 3. THAT the Council of the Township of Centre Wellington, as sole shareholder in Centre Wellington Energy Inc., consents to the following: 1. The declaration of a one-time special dividend of $150,000 to be paid by Centre Wellington Hydro Ltd., to the holding company, Centre Wellington Energy Inc. 2. Authorizes Centre Wellington energy to purchase 125,000 class "B" shares from Centre Wellington Energy Innovations.

VanLeeuwen. THAT the Council of the Township of Centre Wellington authorize the Mayor and Clerk to execute an Easement Agreement with the Grand Page 6 of 9 Council Minutes November 25, 2019 River Conservation Authority (GRCA) for the construction of a storm sewer outlet located on GRCA lands in Inverhaugh.

Dunsmore. THAT the Council of the Township of Centre Wellington authorize the Mayor and Clerk to repeal and replace existing By-law 2016-056 to include the lands located at 525 St. Andrew Street East, Fergus.

Dunsmore. THAT the Council of the Township of Centre Wellington award Request Page 7 of 9 Council Minutes November 25, 2019 For Tender #44-19: Elora Fire Station Renovation – General Contractor, to Domm Construction Ltd. in the amount of $305,000.00, excluding contingency and HST; AND THAT project funding be revised as outlined in Report COR2019- 80 dated November 25, 2019.

Dunsmore. THAT By-laws 2019-63 through 2019-65 be read a first, second and third time and passed, signed by the Mayor and Clerk and the Corporate Seal affixed.
